- Zyfai Inc, a company incorporated under the laws of Panama (“Zyfai Inc”), which operates the Zyfai Agent infrastructure and related services.
- Ondefy S.A., a company limited by shares established under the laws of Switzerland and domiciled in Lausanne, Switzerland (“Ondefy”), which develops and maintains the Zyfai software and provides the Zyfai UI.
1 Eligibility and Restricted Jurisdictions
By using the Zyfai Agent and Zyfai UI, you represent and warrant that you:- Have the legal authority and capacity to accept these Terms and are of legal age in your jurisdiction.
- Will not use the Zyfai Agent or Zyfai UI if prohibited by the laws of your country.
- Are not subject to sanctions issued by Switzerland, the United Nations, the European Union, or the United States.
- Are not accessing the Zyfai Agent or Zyfai UI from a restricted or embargoed jurisdiction as defined by the Swiss State Secretariat for Economic Affairs.
2 Zyfai Agent Software
2.1 Overview
The Zyfai Agent is software operated by Zyfai Inc that analyzes data and automatically executes predefined strategies (“Strategies”) across various DeFi protocols (“DeFi Protocols”) through Smart Accounts assigned to users. The Zyfai Agent may select and execute transactions within the Strategy settings, Session Key permissions, Target Registry, and other restrictions applicable to your Smart Account. By activating the Zyfai Agent, you acknowledge that execution decisions may be generated automatically from data processed by the Zyfai Agent and may be implemented without a separate signature or confirmation for each transaction.2.2 Smart Account Activation and Session Key Authorization
Zyfai may deploy and configure a Smart Account before it is assigned to you. The Smart Account may contain an active Session Key authorization created before ownership or control of the Smart Account is transferred to your Wallet. When you complete your first deposit, the designated Smart Account is transferred or assigned to your Wallet together with its existing configuration, modules, and Session Key permissions. By accepting these Terms and completing the activation or deposit, you acknowledge the existing Session Key authorization and instruct the Zyfai Agent to operate the Smart Account within its permitted scope. The Session Key allows the Zyfai Agent to execute transactions without requesting an additional signature or confirmation from you for each transaction. Its authority is limited by the Smart Account configuration, applicable modules, Target Registry, approved contracts, permitted functions and parameters, supported networks, assets, and Strategy settings. You may disable or revoke the Session Key using the available revocation mechanism. Until revocation becomes effective onchain, the Zyfai Agent may continue to execute transactions within the existing permissions. Neither Zyfai Inc nor Ondefy provides any warranty regarding the performance, accuracy, timing, or outcome of transactions executed through a Session Key.2.3 Software Service
The Zyfai Agent is provided as an automated software service. Your use of the Zyfai Agent constitutes a software license and is not intended to constitute financial advice, asset management, brokerage, or a custodial service. Except where expressly agreed otherwise, Zyfai Inc and Ondefy do not take ownership of assets held in your Smart Account after it has been transferred to your Wallet. The Zyfai Agent may select and execute transactions within the permissions and Strategy configuration applicable to your Smart Account. You retain the ability to withdraw assets and disable or revoke the Session Key, subject to blockchain availability, transaction fees, and the operation of the relevant smart contracts. The Zyfai Agent does not guarantee any yield, performance, risk outcome, liquidity, or preservation of capital.3 Smart Accounts
3.1 Smart Account Transfer and Control
Smart Accounts are blockchain based smart contracts. Zyfai may deploy and configure a Smart Account before assigning it to a user. When you complete your first deposit, ownership or ultimate control of the designated Smart Account is transferred to your externally owned account (“EOA” or “Wallet”) together with its existing configuration, modules, and Session Key permissions. After the transfer, you retain ultimate control of the Smart Account and may withdraw assets, change its configuration, or revoke the Session Key, subject to the technical operation of the Smart Account and applicable blockchain conditions. At the time of transfer, the Zyfai Agent may already possess limited authority to execute transactions through the preconfigured Session Key. By accepting the transfer and funding the Smart Account, you expressly accept that authority and authorize continued automated execution within its permitted scope. Neither Zyfai Inc nor Ondefy is authorized to execute transactions outside the permissions enforced by the Smart Account and related security infrastructure.3.2 Target Registry and Permission Updates
The Session Key permissions may reference a Target Registry or similar allowlist that identifies the contracts, functions, and transaction parameters available to the Zyfai Agent. The Target Registry may be maintained or updated by Zyfai Inc, Ondefy, or an appointed curator. Depending on your Smart Account configuration, additions or modifications to the Target Registry may become available to the Zyfai Agent without a new signature from you. By activating the Zyfai Agent, you authorize execution against the Target Registry as it may be updated within the networks, assets, risk settings, and Strategy scope presented to you. An update outside that authorized scope requires any additional approval that is technically or legally required. Material Target Registry updates will be communicated through the Zyfai UI or another reasonable channel where practicable. You may prevent future automated execution by disabling or revoking the applicable Session Key.3.3 Third Party Protocols
Neither Zyfai Inc nor Ondefy controls, manages, or operates the third party DeFi Protocols with which your Smart Account interacts. The Zyfai Agent operates the automation infrastructure used to submit transactions to your Smart Account under the applicable Session Key permissions. You interact with third party DeFi Protocols at your own risk. Neither Zyfai Inc nor Ondefy assumes responsibility for their availability, security, operation, governance, performance, or continued existence.4 Use of Zyfai Agent and Zyfai UI
4.1 License and Usage Rights
Subject to compliance with these Terms, Zyfai Inc grants you a nonexclusive, nontransferable, revocable license to access and use the Zyfai Agent, and Ondefy grants you a nonexclusive, nontransferable, revocable license to access and use the Zyfai UI, strictly for connecting to, activating, funding, and managing Smart Accounts and Strategies through the Zyfai services (“Designated Purpose”).4.2 Fees
The Zyfai UI is free to access. However, use of the Zyfai Agent is subject to fees (“Agent Fees”) as displayed on the Zyfai UI. Agent Fees are collected by the Zyfai DAO and are nonrefundable, except where otherwise required by applicable law.4.3 Restrictions
You agree not to:- Resell, distribute, or sublicense the Zyfai Agent or Zyfai UI.
- Reverse engineer, decompile, or modify the Zyfai Agent, except where such restriction is prohibited by applicable law.
- Use the Zyfai Agent or Zyfai UI for illegal purposes or to infringe the rights of others.
5 Updates and Modifications
Ondefy or Zyfai Inc may release software, security, interface, or infrastructure updates from time to time. Updates that do not expand the authority granted through your Smart Account may be applied automatically. Updates to a Target Registry are governed by section 3.2. Any change that would permit execution outside the scope you authorized requires any additional approval that is technically or legally required. We do not guarantee continued support for older software or Smart Account configurations.6 User Responsibilities
You are solely responsible for:- Ensuring compliance with all applicable laws and regulations.
- Maintaining the security of your Wallet, authentication credentials, and recovery methods.
- Reviewing the Strategy settings and Session Key permissions presented during activation.
- Understanding that activating or funding a Smart Account with an enabled Session Key permits automated transactions without individual confirmation.
- Monitoring your Smart Account and revoking the Session Key if you no longer wish to use automated execution.
- Determining whether the selected Strategies and permissions are appropriate for your circumstances and risk tolerance.
7 Intellectual Property
All rights, including intellectual property rights related to the Zyfai Agent and Zyfai UI, remain the exclusive property of Ondefy. Ondefy licenses the Zyfai Agent software to Zyfai Inc for operational purposes. You have no ownership rights beyond those explicitly granted in these Terms.8 Connecting to the Zyfai UI and Activating an Account
To use the Zyfai UI, you must connect or create a supported Wallet or authentication method. When connecting your Wallet, you will be asked to sign a message confirming your acceptance of these Terms and the Privacy Policy. When you make your first deposit, a preconfigured Smart Account may be assigned and transferred to your Wallet. The Smart Account may already contain an active Session Key and other modules required for automated operation. Before completing the activation or deposit, you will be informed that the Smart Account contains this authorization and that the Zyfai Agent may execute transactions without further signatures. By selecting the activation action and completing the transaction, you authorize that automated execution. You are responsible for securing the Wallet, credentials, and recovery methods through which you control the Smart Account after the transfer.9 Termination and Revocation
These Terms remain in effect until terminated by either party. Zyfai Inc or Ondefy may terminate these Terms and restrict access to the Zyfai Agent or Zyfai UI as permitted by applicable law. You may terminate your use by ceasing to use the services and revoking the relevant Smart Account permissions. Disconnecting your Wallet, closing the Zyfai UI, or ceasing to use the interface does not by itself revoke an active Session Key. To prevent further automated transactions, you must disable or revoke the applicable Session Key using the available revocation mechanism. You should also withdraw or reposition assets if you no longer wish them to remain exposed to the relevant DeFi Protocols. Termination of the Zyfai UI or Agent service does not reverse completed blockchain transactions or automatically withdraw assets from third party DeFi Protocols.10 Risks
By using the Zyfai Agent and Zyfai UI, you acknowledge the risks associated with DeFi and automated execution, including but not limited to:- Irreversible blockchain transactions.
- Security vulnerabilities in Smart Accounts and DeFi Protocols.
- Potential termination or unavailability of the Zyfai Agent or Zyfai UI.
- The potential loss of all assets or a complete loss of their value.
- Transactions being executed automatically without prior notice or individual confirmation.
- Automated execution occurring at an unfavorable time, failing, being delayed, or producing an unintended outcome.
- A defect, compromise, or incorrect configuration affecting a Session Key, Smart Account module, Target Registry, security gateway, trusted execution environment, or key management system, which could result in unauthorized transactions or loss of assets.
- Changes to a Target Registry exposing assets to newly added DeFi Protocols or smart contracts without a new Wallet signature where those changes fall within the authority accepted during activation.
- A revocation transaction being delayed or failing because of network congestion, an interruption, insufficient gas, interface unavailability, or smart contract failure.
- The transfer of ownership or control of a preconfigured Smart Account failing to remove, transfer, or enforce an authority or module as intended.
