These Terms of Use ("Terms") constitute a legal agreement between the User ("User", "you" or "your") and the following entities within the Zyfai ecosystem:

  • Zyfai Inc, a company incorporated under the laws of Panama ("Zyfai Inc"), which operates the Zyfai Agent infrastructure and related services;
  • Ondefy S.A., a company limited by shares established under the laws of Switzerland and domiciled in Lausanne, Switzerland ("Ondefy"), which develops and maintains the Zyfai software and provides the Zyfai UI.

These Terms, together with any referenced documents, govern your access to and use of the Zyfai software and automated agent infrastructure ("Zyfai Agent" or "Agent") for decentralized financial (DeFi) applications, as well as the Zyfai user interface ("Zyfai UI").

By accessing or using the Zyfai Agent and the Zyfai UI (including any future updates or modifications), you agree to be bound by these Terms. We reserve the right to modify these Terms at any time at our sole discretion, with notice provided through an updated "last updated" date. Your continued use of the Zyfai Agent and/or the Zyfai UI signifies your acceptance of any revised Terms. If you do not agree, please cease use immediately.

1. Eligibility and Restricted Jurisdictions​

By using the Zyfai Agent and Zyfai UI, you represent and warrant that you:

  • Have the legal authority and capacity to accept these Terms and are of legal age in your jurisdiction.
  • Will not use the Zyfai Agent and Zyfai UI if prohibited by the laws of your country.
  • Are not subject to sanctions issued by Switzerland, the UN, the EU, or the US.
  • Are not accessing the Zyfai Agent and Zyfai UI from restricted or embargoed jurisdictions as defined by the Swiss State Secretariat for Economic Affairs (SECO).

We reserve the right to restrict access to the Zyfai Agent and Zyfai UI based on geographical location.

2. Zyfai Agent Software​

2.1 Overview​

The Zyfai Agent is software operated by Zyfai Inc that enables automated execution of predefined strategies ("Strategies") across various DeFi protocols ("DeFi Protocols") by interacting with user-deployed smart contracts ("Smart Accounts"). By enabling your accounts to query and process data generated by the Zyfai Agent Software, you acknowledge that execution decisions are made based on such data.

2.2 Automation and Sign Requests​

The Zyfai Agent operates off-chain analysis to generate execution requests ("Sign Requests") that can be accepted and signed by your Smart Accounts for on-chain execution. By using the Zyfai Agent, you acknowledge and accept that neither Zyfai Inc nor Ondefy provides any warranties regarding the performance, accuracy, or outcomes of any Sign Requests.

2.3 Software License​

The Zyfai Agent is provided as a software tool. Your use of the Zyfai Agent constitutes a software license, not a financial advisory, asset management, or custodial service. The Agent provides rebalancing options in the form of executable code which can be implemented in line with the pre-approvals made by you through your Smart Account permissions. You retain full control over these pre-approvals and may adapt or remove them at your sole discretion at any time.

3. Smart Accounts​

3.1 Overview​

Smart Accounts are blockchain-based smart contracts controlled by your externally owned account ("EOA" or "Wallet"). These accounts execute Sign Requests using session keys ("Session Keys") configured within your defined permissions ("Permissions"). Transactions executed by your Smart Accounts occur without the involvement of Zyfai Inc or Ondefy.

You explicitly acknowledge that Smart Accounts are under your sole control, and neither Zyfai Inc nor Ondefy has any ability to modify, revoke, or execute transactions on your behalf.

3.2 Third-Party Protocols​

Neither Zyfai Inc nor Ondefy controls, manages, or operates DeFi Protocols or Smart Accounts. You interact directly with these third-party protocols at your own risk, and we assume no liability for their operation.

4. Use of Zyfai Agent and Zyfai UI​

4.1 License and Usage Rights​

Subject to compliance with these Terms, Zyfai Inc grants you a non-exclusive, non-transferable, revocable license to access and use the Zyfai Agent, and Ondefy grants you a non-exclusive, non-transferable, revocable license to access and use the Zyfai UI, strictly for deploying and managing your Smart Accounts ("Designated Purpose").

4.2 Fees​

The Zyfai UI is free to access. However, usage of the Zyfai Agent is subject to fees ("Agent Fees") as displayed on the Zyfai UI. Agent Fees are collected by Zyfai Inc and are non-refundable.

4.3 Restrictions​

You agree not to:

  • Resell, distribute, or sublicense the Zyfai Agent or UI.
  • Reverse engineer, decompile, or modify the Zyfai Agent.
  • Use the Zyfai Agent or UI for illegal purposes or to infringe on the rights of others.

5. Updates and Modifications​

Ondefy may release new versions of the Zyfai Agent software from time to time. New versions are made available for you to review and actively link to your Smart Account at your discretion. You are not required to adopt any update, and you may continue to use the previous version of the software linked to your Smart Account. We do not guarantee continued support for older versions.

6. User Responsibilities​

You are solely responsible for:

  • Ensuring compliance with all applicable laws and regulations.
  • Maintaining the security of your Wallet, Smart Accounts, and Session Keys.
  • The execution of transactions through your Smart Accounts.
  • Reviewing and approving any permissions granted to the Zyfai Agent through your Smart Account configuration.

7. Intellectual Property​

All rights, including intellectual property rights related to the Zyfai Agent and Zyfai UI, remain the exclusive property of Ondefy. Ondefy licenses the Zyfai Agent software to Zyfai Inc for operational purposes. You have no ownership rights beyond those explicitly granted in these Terms.

8. Connecting to the Zyfai UI​

To use the Zyfai UI, you must connect an EOA. Your EOA is used to deploy and manage Smart Accounts and execute transactions. You are fully responsible for the security of your Wallet, Smart Accounts, and any related private keys.

9. Termination​

These Terms remain in effect until terminated by either party. Zyfai Inc or Ondefy may terminate these Terms and restrict access to the Zyfai Agent and UI at any time. You may terminate by ceasing use and revoking Smart Account permissions.

10. Risks​

By using the Zyfai Agent and UI, you acknowledge the risks associated with DeFi, including but not limited to:

  • Irreversible blockchain transactions.
  • Security vulnerabilities in Smart Accounts and DeFi Protocols.
  • Potential termination of the Zyfai Agent and UI.
  • The potential loss of all assets and/or a complete loss of their value.

11. Disclaimers​

Zyfai Agent and UI are provided "as is" without warranties of any kind. Neither Zyfai Inc nor Ondefy guarantees their availability, performance, or security.

12. Limitation of Liability​

To the maximum extent permitted by law, Zyfai Inc and Ondefy disclaim liability for any direct, indirect, incidental, or consequential damages arising from your use of the Zyfai Agent and UI.

14. Miscellaneous​

14.1 Entire Agreement​

These Terms constitute the entire agreement between you, Zyfai Inc, and Ondefy concerning your use of the Zyfai Agent and UI, superseding any prior agreements.

14.2 Severability​

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

14.3 User Feedback​

Any feedback you provide may be used by us without restriction or compensation.

14.4 Taxes​

You are solely responsible for any tax obligations arising from the use of the Zyfai Agent and UI.

14.5 Governing Law and Jurisdiction​

These Terms are governed by the laws of Panama with respect to the Zyfai Agent service provided by Zyfai Inc, and by Swiss law with respect to the Zyfai UI provided by Ondefy S.A. Any disputes relating to the Zyfai Agent shall be subject to the exclusive jurisdiction of the courts of Panama. Any disputes relating to the Zyfai UI shall be subject to the exclusive jurisdiction of the courts of Lausanne, Switzerland.

14.6 Class Action Waiver​

You waive the right to participate in class action lawsuits related to the Zyfai Agent and UI.
